These terms govern your use of zinance.co and the services provided by Tradeflo Global Inc (“Zinance”, “we”, “us”). By using our website or services, you agree to these terms. If you do not agree, please do not use them.
1. The services
Zinance provides bookkeeping, tax, fractional CFO, and finance operations services to businesses. The specific scope, fees, and term that apply to you are set out in the order form, proposal, or engagement letter you sign with us. If anything in those documents conflicts with these terms, those documents control.
2. Not professional advice
Content on this website is provided for general information only. It is not legal, tax, accounting, or investment advice, and you should not rely on it as a substitute for advice from a qualified professional who knows your situation.
3. Your responsibilities
- You are responsible for the accuracy and completeness of the records, documents, and information you provide to us. Our work depends on them.
- You will keep your account credentials secure and tell us promptly if you suspect unauthorised access.
- You will use the website and services lawfully, and not attempt to disrupt, reverse engineer, scrape, or gain unauthorised access to them.
4. Fees and payment
Fees are as set out in your order form or engagement letter. Unless stated otherwise, fees are billed in advance, are exclusive of taxes, and are non-refundable once the period they cover has begun. Card payments are processed by Stripe, and your use of that payment method is also subject to Stripe’s terms. We may suspend services for accounts with overdue amounts after giving you notice.
5. Term and cancellation
Your engagement continues until either party ends it in line with your order form or engagement letter. On termination you remain responsible for fees accrued up to the effective date, and we will make your records available to you for a reasonable transition period.
6. Confidentiality
Each party will protect the other’s confidential information and use it only to perform under these terms, except where disclosure is required by law. Our handling of personal information is described in our Privacy Policy.
7. Intellectual property
We own the website, our services, and all related materials, including our templates, dashboards, and workflows. You own your own data and records. You grant us the rights we need to use your data to deliver the services to you.
8. Third party services
Our services may connect to third party tools, such as accounting, banking, or payroll platforms. We are not responsible for those tools, their availability, or their acts and omissions, and your use of them is governed by their own terms.
9. Disclaimers
Except as expressly stated in a signed agreement with you, the website and services are provided “as is” without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website will be uninterrupted or error free.
10. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability arising out of or relating to these terms will not exceed the fees you paid us in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited by law.
11. Indemnity
You agree to indemnify us against claims, losses, and expenses arising from your breach of these terms, your misuse of the services, or your violation of law or the rights of a third party.
12. Changes
We may update these terms from time to time. When we do, we will revise the date at the top of this page. Your continued use of the website or services after a change takes effect means you accept the updated terms.
13. Governing law
These terms are governed by the laws of the State of California, without regard to its conflict of laws rules. The state and federal courts located in San Francisco County, California will have exclusive jurisdiction over any dispute, and each party consents to that jurisdiction.
